Location Requirements Additional Terms

These Additional Terms govern your use of the Services and are incorporated by reference into the Beeline Connect General Terms of Service (“General Terms”) located at beelineconnect.com/programterms (these Additional Terms and the General Terms are collectively referred to as this “Agreement”). Capitalized items not defined here have the same meaning as defined in the General Terms.
1. Beeline Retailer Location Requirements. At all times, a Beeline Retailer who uses the Services will ensure all locations using the Services will perform, satisfy and comply with all of the specific location requirements set forth below. Beeline may, but is under no obligation to, restrict locations that do not meet these minimum requirements. Any failure to comply with the requirements may result in the removal of Beeline Retailer’s location from the Services and/or termination of Beeline Retailer’s subscription, at Beeline’s sole discretion
2. In-Shop Location Requirements. As applicable for Beeline Retailers using Services for in-shop service, Beeline Retailer will have and maintain one or more locations meeting the following requirements:
- Verifiable commercial address
- Clear signage for walk-in customers
- Regular store hours, appointment only is not acceptable
- Operating store phone line
- Updated website or social media page
3. Mobile Location Requirements. As applicable for Beeline Retailers using Services for mobile vehicle service, Beeline will assign Beeline Retailer a mobile services territory (“Territory”), which will be a set of contiguous zip codes as currently designated by the United States Postal Service. Beeline Retailer may sell in the Territory, but shall not have exclusivity for the Territory. Each Territory may include in part or in whole zip codes associated with another Territory. The Territory size designated by Beeline will be subject to drive-time requirements, measured using online mapping tools to calculate estimated drive-time between two representative zip codes at furthest ends of the Territory ( “Drive-Time Calculation”). Beeline will measure the Drive Time Calculation at four (4) time points, 9:00 a.m., 12:00 p.m., 3:00 p.m., and 6:00 p.m. on a non-holiday Tuesday and will complete the calculation in both possible directions for a total of eight (8) Drive Time Calculations. No more than two (2) of the possible Drive Time Calculations may have a maximum estimated time greater than 85 minutes. The Territory designation will be made by Beeline, in its sole discretion. All mobile locations must additionally meet the following requirements:
- Commercial shipping address (e.g. private mail box or in-shop location)
- Operating store phone line
- Updated website or social media page
4. Beeline Certified Bicycle Retailer Location Requirements. As applicable for Beeline Retailers who uses the Services, inclusive of in-shop location requirements and mobile location requirements, as a bicycle retailer (“Beeline Certified Bicycle Retailer”) will perform, satisfy and comply with all of the specific location requirements set forth below for all locations:
- Employ a minimum of one fulltime qualified bicycle mechanic with a minimum of two years of experience or cycling industry certification such as PBMA, Bosch, S-TEC, etc.
- Have and maintain wholesale accounts with sufficient suppliers of bicycle parts and bicycle tools
- Have and maintain a dedicated space for the purposes of bicycle assembly and bicycle repair
- Have and maintain specific bicycle tools sufficient to work on all common bicycles including but not limited to a bicycle repair stand, wheel truing stand, disc brake bleeding tools for mineral oil and DOT fluid, and torque wrench(es).
- Ability and willingness to perform normal bicycle service on all bicycles, including brands not sold or carried by the Beeline Bicycle Retailer.
5. Beeline Rental-Only Retailer Location Requirements. As applicable for Beeline Retailers who uses the Services, inclusive of in-shop location requirements and mobile location requirements, as a bicycle retailer (“Beeline Rental-Only Retailer”) will perform, satisfy and comply with all of the specific location requirements set forth below for all locations:
- Basic tools to perform bicycle assembly
6. Beeline Non-Certified Bicycle Retailer Location Requirements. As applicable for Beeline Retailers who uses the Services, inclusive of in-shop location requirements and mobile location requirements, as a non-certified bicycle retailer (“Beeline Non-Certified Bicycle Retailer”) will perform, satisfy and comply with all of the specific location requirements set forth below for all locations:
- Basic tools to perform bicycle assembly
7. Exception. EXCEPT TO THE EXTENT OF SET FORTH ABOVE IN THESE TERMS, AND NOTWITHSTANDING ANY PROVISION TO THE CONTRARY CONTAINED ON-LINE OR MOBILE MEDIA, OR OTHER STATEMENT OR INSTRUMENT, BEELINE MAKES NO REPRESENTATION, WARRANTY OR GUARANTEE, EXPRESS, IMPLIED OR STATUTORY, WITH RESPECT TO THE AUTHORIZED PRODUCTS, INCLUDING, BUT NOT LIMITED TO, ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE
8. Limitation. Without in any manner limiting any other limitations set forth herein or in the documents and agreements entered into between Beeline Retailer and Beeline, Beeline disclaims any and all liability arising from or related to statements, representations, warranties, promises or guarantees of Beeline Retailer or any of its Representatives or affiliates made to any retail purchasers or other persons or entities, including, but not limited to, any such statements, representations, warranties, promises or guarantees that the Products are suitable for any particular use, purpose or application.
