Warranty Additional Terms

These Additional Terms govern your use of the Services and are incorporated by reference into the Beeline Connect General Terms of Service (“General Terms”) located at beelineconnet.com/programterms (these Additional Terms and the General Terms are collectively referred to as this “Agreement”). Capitalized items not defined here have the same meaning as defined in the General Terms.

  1. Beeline Warranty Retailer Obligations

    At all times, a Beeline Retailer who participates in a Beeline Warranty Program (“Beeline Warranty Retailer”) will perform, satisfy and comply with all of the specific service level requirements set forth below with respect to all sales through the Program. Beeline Warranty Retailer agrees to perform warranty services for any Products for which Beeline Warranty Retailer receives an approved warranty request notice through and including the date of termination of Beeline Warranty Retailer’s participation in the Program.

  2. Service Level Requirements and Process
    • Delivery and Risk of Loss
      • Beeline shall take all action necessary to cause each third-party seller (“Supplier Brand”) to deliver third party bicycles and parts to Beeline Warranty Retailer in accordance with this Agreement and the applicable warranty process established by Beeline from time to time upon notice to Beeline Warranty Retailer. All such products will only be shipped to Beeline approved Beeline Warranty Retailer locations.
      • All risk of loss and damage to products supplied to Beeline Warranty Retailer hereunder are F.O.B. Supplier Brand’s shipping docks.
      • Beeline Warranty Retailer will accept all risk of loss and damage to Products from the time products are received by the Beeline Warranty Retailer until they are delivered to the appropriate Rider.
    • Service Process for Warranty Services by Beeline Warranty Retailer

      In all cases the Beeline Warranty Retailer will adhere to the following procedure:

      • Beeline Warranty Retailer shall respond to all in-shop and mobile warranty orders with urgency and professionalism, positively reflecting on the Beeline and Supplier Brand.
      • For in-shop services, the warranty service and associated product must be available for pick up on or before the scheduled pickup appointment date.
      • For mobile services, the warranty service and associated product must be delivered to Rider on or before the scheduled appointment date and time.
      • Beeline Warranty Retailer shall provide all warranty services and associated products fully and properly assembled in accordance with all applicable warnings and assembly instructions and best industry standards.
      • Beeline Warranty Retailer is not obligated to provide services pertaining to ongoing proper maintenance or warranty to Riders free of charge.
    • Failure To Meet Service Level Requirements And Process

      Any failure to comply with the above service level expectations may result in the immediate removal of Beeline Fulfillment Retailer from the applicable fulfillment program and termination of Beeline Retailer´s account, at Beeline´s sole discretion.

  3. Warranty Service Compensation

    Beeline will pay to Beeline Warranty Retailer the applicable Warranty Compensation set forth below for Warranty Services provided by the Beeline Warranty Retailer hereunder (the “Retailer Warranty Labor Compensation” and “Retailer Warranty Parts Compensation”, collectively the “Warranty Compensation”). Retailer Warranty Parts Compensation means a variable amount submitted by the Beeline Warranty Retailer when creating a Warranty Request. Retailer Warranty Labor Compensation means the labor dollars associated with each “Warranty Service Item” as defined by Beeline and as described more fully at the Beeline website. Beeline Warranty Retailer, for itself and its Affiliates, understands and consents to Beeline’s reasonable modification of warranty service items and applicable Retailer Warranty Labor Compensation at any time without notice in furtherance of performing under this Agreement. Such modification of fees is intended to allow Beeline to best react to changing market conditions and improve its Warranty Services. Beeline Warranty Retailer expressly authorizes Beeline to invoice and collect from Supplier Brand payments for warranty services. Beeline Warranty Retailer will accrue compensation only for completed warranty services, requiring but not limited to complete warranty service work, delivery to appropriate Rider and completion of process using the Software Services (“Completed Warranty Request”) with fifteen (15) months of warranty request order creation. Beeline will pay Beeline Warranty Retailer accrued but unpaid compensation no more than once per month as determined by Beeline. Beeline Warranty Retailer will not invoice or collect funds from Riders for Warranty Services performed through the Program, but Beeline Warranty Retailer may conduct other retail business with customers participating in this Program as and to the extent permitted under the Agreement. Beeline Warranty Retailer’s account must be in good standing to receive any and all compensation.

  4. Exception

    EXCEPT TO THE EXTENT OF SET FORTH ABOVE IN THESE TERMS, AND NOTWITHSTANDING ANY PROVISION TO THE CONTRARY CONTAINED IN ANY WARRANT PROCESS, ON-LINE OR MOBILE MEDIA, OR OTHER STATEMENT OR INSTRUMENT, BEELINE MAKES NO REPRESENTATION, WARRANTY OR GUARANTEE, EXPRESS, IMPLIED OR STATUTORY, WITH RESPECT TO THE AUTHORIZED PRODUCTS, INCLUDING, BUT NOT LIMITED TO, ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

  5. Limitation

    Without in any manner limiting any other limitations set forth herein or in the documents and agreements entered into between Beeline Warranty Retailer and Beeline, Beeline disclaims any and all liability arising from or related to statements, representations, warranties, promises or guarantees of Beeline Warranty Retailer or any of its Representatives or affiliates made to any retail purchasers or other persons or entities, including, but not limited to, any such statements, representations, warranties, promises or guarantees that the Products are suitable for any particular use, purpose or application. In addition, any warranty offered by Beeline Warranty Retailer that is in addition to or different from the foregoing provisions of these terms shall not be binding upon Beeline, and shall be the sole responsibility of Beeline Warranty Retailer and shall clearly and conspicuously state that such warranty is Beeline Warranty Retailer’s warranty only.
