Fulfillment Additional Terms

These Additional Terms govern your use of the Services and are incorporated by reference into the Beeline Connect General Terms of Service (“General Terms”) located at beelineconnet.com/programterms (these Additional Terms and the General Terms are collectively referred to as this “Agreement”). Capitalized items not defined here have the same meaning as defined in the General Terms.

Beeline Fulfillment Retailer Obligations
At all times, a Beeline Retailer who participates in a Beeline Fulfillment program (“Beeline Fulfillment Retailer”) will perform, satisfy and comply with all of the specific service level requirements set forth below with respect to all sales through the Program. Beeline Fulfillment Retailer agrees to assemble and deliver to Rider any Products for which Beeline Fulfillment Retailer receives a fulfilment shipment notice through and including the date of termination of Beeline Fulfillment Retailer´s participation in the Program.

Service Level Requirements and Process

Delivery and Risk of Loss
- Beeline shall take all action necessary to cause each third-party seller (“Supplier Brand”) o deliver third party bicycles and parts, authorized by Beeline for sale, (“Authorized Products” or “Products”) to Beeline Fulfillment Retailer in accordance with this Agreement and the applicable fulfillment process established by Beeline from time to time upon notice to Beeline Fulfillment Retailer. All such Products will only be shipped to Beeline approved Beeline Fulfillment Retailer locations.
- All risk of loss and damage to Products supplied to Beeline Fulfillment Retailer hereunder are F.O.B. Supplier Brand´s shipping docks.
- Beeline Fulfillment Retailer will accept all risk of loss and damage to Products from the time Products are received by the Beeline Fulfillment Retailer until they are delivered to the appropriate Rider.

Service Process for Products Fulfilled by Beeline Fulfillment Retailer. In all cases the Beeline Fulfillment Retailer will adhere to the following procedure:
- Beeline Fulfillment Retailer shall respond to all in-shop and mobile fulfillment orders with urgency and professionalism, positively reflecting on the Beeline and Supplier Brand.
- For in-shop services, the Product must be available for pick up on or before the scheduled pickup appointment date.
- For mobile services, the Product must be delivered to Rider on or before the scheduled appointment date and time.
- Beeline Fulfillment Retailer shall provide all Products fully and properly assembled in accordance with all applicable warnings and assembly instructions and best industry standards and in compliance with the Beeline Fulfillment Assembly Requirements.
- Beeline Fulfillment Retailer will provide owner´s manual, and any applicable included parts and accessories, including assembly tool kits, to each Rider.
- Beeline Fulfillment Retailer shall provide initial assembly, adjustment and other services pertaining to post assembly adjustment to Riders free of charge within thirty (30) days after scheduled appointment date. Beeline Fulfillment Retailer is not obligated to provide services pertaining to ongoing proper maintenance or warranty to Riders free of charge.

Service Process for Damaged Fulfillment Products In the case of a Product that arrives damaged or needs extra work/parts to assemble for safe use in accordance with best industry standards, and all applicable governmental and legal requirements, the following procedures shall apply:
- If the bicycle, component or accessory is damaged in a minor or cosmetic way and is otherwise functional and safe, as reasonably determined by the Beeline Fulfillment Retailer:
- Beeline Fulfillment Retailer will show the Rider the damage so that the Rider can document it and contact Supplier Brand for a credit.
- Supplier Brand will promptly issue a credit of $60 USD/CAD to the Rider.
- If the bicycle, component or accessory has a broken part that is easily fixable during the fulfillment visit but requires additional parts and/or labor, as reasonably determined by the Beeline Fulfillment Retailer:
- Beeline Fulfillment Retailer will document the damage and alert Beeline Support of issue.
- Beeline will subsequently invoice Supplier Brand for the additional parts and labor required to complete the fulfillment Services.
- For additional parts and labor that exceed $60 USD/CAD, Beeline should consult with Supplier Brand for the best solution to redress the broken part.
- If the bicycle, component or accessory is damaged beyond the ability to fix it in a single visit (for example, scratched and dented bicycles that are not acceptable to the Rider requiring a second bicycle be shipped), as reasonably determined by the Beeline Fulfillment Retailer:
- Beeline Fulfillment Retailer will document the damage and alert Beeline Support of issue.
- Beeline will coordinate with Supplier Brand to ship a replacement bicycle.
- The replacement bicycle, component or accessory will be shipped directly to the applicable Approved Location with a return shipping label.
- Beeline Fulfillment Retailer will return damaged bicycle to Supplier Brand using the Supplier Brand supplied return shipping label.
- Beeline will invoice Supplier Brand and pay to Fulfillment Retailer Warranty Labor Compensation for boxing labor.
- Beeline Fulfillment Retailer will assemble the new bicycle and deliver it to the Rider. Normal fulfillment fees will apply for each fulfillment visit. Beeline will schedule delivery directly with the Rider.
- In the event the Rider contacts Supplier Brand and requests to return/exchange Products, and Supplier Brand approves the return/exchange of Products, the Supplier will determine the best method of return and the following procedures shall apply:
- Supplier Brand will inform Beeline of approved return/exchange.
- Beeline Fulfillment Retailer will return Products to Supplier Brand using the Supplier supplied return shipping label.
- Beeline will invoice Supplier Brand and pay to Fulfillment Retailer Warranty Labor Compensation for boxing labor.
- Beeline will invoice Supplier Brand additional $50.00 USD/CAD for mobile service only as applicable.
- If the bicycle, component or accessory is damaged in a minor or cosmetic way and is otherwise functional and safe, as reasonably determined by the Beeline Fulfillment Retailer:

Failure To Meet Service Level Requirements And Process.
Any failure to comply with the above service level expectations may result in the immediate removal of Beeline Fulfillment Retailer from the applicable fulfillment program and termination of Beeline Retailer´s account, at Beeline´s sole discretion.

Fulfillment and Warranty Compensation
Beeline will pay to Beeline Fulfillment Retailer for Beeline Fulfillment Retailer´s fulfillment services the payment amounts for the fulfillment service set forth in the Beeline Retailer Fulfillment Compensation found in the Program Terms, which may be modified from time to time by Beeline. Beeline Fulfillment Retailer expressly authorizes Beeline to invoice and collect from Supplier Brand payments for product sales and services through the Program. Beeline Fulfillment Retailer will accrue compensation only for completed fulfillment orders, requiring but not limited to complete assembly of Products, delivery to appropriate Rider and completion of process using the Software Services (“Completed Fulfillment Order”) with fifteen (15) months of fulfillment order creation. Beeline will pay Beeline Fulfillment Retailer accrued but unpaid compensation no more than once per month as determined by Beeline. Beeline Fulfillment Retailer will not invoice or collect funds from Riders for products sold to customers through the Program, but Beeline Fulfillment Retailer may conduct other retail business with customers participating in this Program as and to the extent permitted under the Agreement. Beeline Fulfillment Retailer´s account must be in good standing to receive any and all compensation.

In-Shop Fulfillment Requirements
As applicable for Beeline Fulfillment Retailers using Services for in-shop service, Beeline Fulfillment Retailer will have and maintain one or more locations accessible to the Rider. Only Beeline Fulfillment Retailer locations that provide in-shop appointment availability for more than 2 days per calendar week and greater than 4.00 bookable service hours per calendar week will qualify for access to fulfillment orders. Beeline may, but is under no obligation to, restrict locations that do not meet these minimum requirements. Fulfillment eligibility shall have no bearing on Beeline Fulfillment Retailers owed Fees.

Mobile Fulfillment Requirements
As applicable for Beeline Fulfillment Retailers using Services for mobile vehicle service, Beeline Fulfillment Retailer will have and maintain one or more mobile locations. Only Beeline Fulfillment Retailer mobile locations that provide mobile appointment availability for more than 3 days per calendar week, 1 of which must be a weekend day, and greater than 8.00 bookable service hours per calendar week, 2.00 of which must be on a weekend day, will qualify for access to fulfillment orders. Beeline may, but is under no obligation to, restrict mobile locations that do not meet these minimum requirements. Fulfillment eligibility shall have no bearing on Beeline Fulfillment Retailers owed Fees.

Exception
EXCEPT TO THE EXTENT OF SET FORTH ABOVE IN THESE TERMS, AND NOTWITHSTANDING ANY PROVISION TO THE CONTRARY CONTAINED IN ANY FULFILLMENT PROCESS, ON-LINE OR MOBILE MEDIA, OR OTHER STATEMENT OR INSTRUMENT, BEELINE MAKES NO REPRESENTATION, WARRANTY OR GUARANTEE, EXPRESS, IMPLIED OR STATUTORY, WITH RESPECT TO THE AUTHORIZED PRODUCTS, INCLUDING, BUT NOT LIMITED TO, ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

Limitation
Without in any manner limiting any other limitations set forth herein or in the documents and agreements entered into between Beeline Fulfillment Retailer and Beeline, Beeline disclaims any and all liability arising from or related to statements, representations, warranties, promises or guarantees of Beeline Fulfillment Retailer or any of its Representatives or affiliates made to any retail purchasers or other persons or entities, including, but not limited to, any such statements, representations, warranties, promises or guarantees that the Products are suitable for any particular use, purpose or application. In addition, any warranty offered by Beeline Fulfillment Retailer that is in addition to or different from the foregoing provisions of these terms shall not be binding upon Beeline, and shall be the sole responsibility of Beeline Fulfillment Retailer and shall clearly and conspicuously state that such warranty is Beeline Fulfillment Retailer´s warranty only.
